CombCast Terms of Service

Last updated DATE

These Terms govern your use of the CombCast website, back office, payment pages and screen player (together, the "Service"). The Service is operated by COMPANY LEGAL NAME, ADDRESS ("CombCast", "we", "us"). Contact: CONTACT EMAIL.

By creating an account, buying from us, or paying through a CombCast payment link, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Who these Terms apply to

  • Visitors browsing our public pages.
  • Agents, who hold a CombCast account to place screens in venues and sell ad spots. Agents also agree to the Agent Agreement.
  • Advertisers, who buy ad spots through an agent's payment link. Advertisers also agree to the Advertiser Terms.
  • Venues, which host screens through an agent. Venue arrangements are between the venue and the agent unless we agree otherwise in writing.

If these Terms conflict with the Agent Agreement or Advertiser Terms, the more specific document applies.

2. Accounts

  • You must be at least 18 (or the age of majority where you live) and able to enter a contract.
  • Give accurate information and keep it up to date.
  • Keep your password private. You are responsible for activity on your account. Tell us right away at CONTACT EMAIL if you think it has been misused.
  • One person or business per account. Do not share accounts.

3. Acceptable use

You agree not to:

  • break any law, or use the Service to mislead, harass or harm anyone;
  • upload content you do not have the rights to, or content that breaks our ad rules (see Advertiser Terms);
  • try to access accounts, screens or data that are not yours, or interfere with the Service's security or operation;
  • copy, resell or reverse-engineer the Service, or scrape it with automated tools;
  • tamper with ad players or use them for anything other than the Service.

4. Payments

  • Prices are in Canadian dollars. Applicable sales taxes are added at checkout.
  • Payments are processed by our payment processor. We do not store full card numbers.
  • Refunds are covered by our Refund Policy.

5. Content

  • You keep ownership of content you upload (images, videos, text).
  • You grant us a non-exclusive, royalty-free licence to store, copy, resize, display and play that content on CombCast screens and in the Service, only as needed to provide it.
  • We may refuse, pause or remove any content or ad that we reasonably believe breaks these Terms, the Advertiser Terms or the law, or that a venue objects to.

6. Our property

The Service, the CombCast name, logo and software belong to us or our licensors. These Terms do not give you any right to use them except as needed to use the Service. Agents may use the CombCast name and materials we provide, following any brand guidelines we share.

7. Availability and changes

  • We work to keep the Service and screens running but do not promise uninterrupted or error-free operation. Screens may go offline because of power, internet, venue or hardware issues.
  • We may change, add or remove features. If a change materially reduces a paid service, we will tell you in advance where reasonably possible.

8. Suspension and termination

  • You may close your account at any time by contacting us.
  • We may suspend or close an account, stop playback or cancel unpaid quotes if you break these Terms, if required by law, or to protect the Service, venues or other users. Where reasonable, we will tell you why and give you a chance to fix the issue first.
  • Sections that by their nature should survive (payments owed, content licence for past playback, disclaimers, liability limits, governing law) survive termination.

9. Disclaimers

The Service is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any audience size, number of plays, sales or income.

10. Limitation of liability

To the extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data;
  • our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim.

Nothing in these Terms limits liability that cannot be limited by law.

11. Indemnity

You agree to cover our reasonable losses and costs from claims by others arising from your content, your breach of these Terms, or your breach of law.

12. Governing law and disputes

These Terms are governed by the laws of PROVINCE: Ontario — TO CONFIRM and the federal laws of Canada that apply there. Courts in PROVINCE have jurisdiction, unless consumer protection law in your province gives you the right to bring a claim where you live. Before starting a claim, please contact us at CONTACT EMAIL so we can try to resolve it.

13. Changes to these Terms

We may update these Terms. We will post the new version with a new date and, for material changes, notify account holders by email or in the back office at least 30 days before they apply. Continuing to use the Service after that means you accept the changes.

14. General

These Terms (with the documents they reference) are the whole agreement between you and us about the Service. If part is unenforceable, the rest still applies. Not enforcing a right is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a business sale or reorganization. The English version governs.
