CombCast Agent Agreement

Last updated DATE

This Agreement is between COMPANY LEGAL NAME, ADDRESS ("CombCast", "we") and you, the person or business that registers as a CombCast agent ("you"). It adds to our Terms of Service and Privacy Policy. You accept it by ticking the box when you create your account or buy the starter kit.

1. What an agent does

As an agent you may:

  • sign up local venues (cafés, restaurants, shops and similar) to host screens;
  • install and look after the ad players and screens you place;
  • sell ad spots on your screens to local businesses, set your own prices and offer discounts on each quote;
  • upload advertisers' content and send them payment links;
  • invite other people to become agents.

2. Independent business — not an employee

You are an independent contractor running your own business. Nothing in this Agreement makes you an employee, partner, franchisee or legal representative of CombCast. You:

  • choose your own hours, methods and territory;
  • pay your own expenses (including TVs, travel, mounting, internet at venues unless the venue provides it);
  • are responsible for your own income tax, and for registering for and charging GST/HST if your earnings require it;
  • may not sign contracts or make promises on CombCast's behalf.

3. Starter kit and subscription

  • Starter kit: CAD $3,500 plus applicable tax. Includes 3 ad players and 1 year of system subscription from activation, with no limit on the number of screens you manage. TVs are not included.
  • Extra ad players: CAD $500 each plus tax, bought separately. Each screen needs one ad player.
  • Your account becomes active when the starter kit payment is confirmed. Ad players ship within Canada to the address you provide.
  • Renewal: after the first year, continued use needs a subscription renewal at the price shown in the back office at that time. If the subscription lapses, ads on your screens may stop playing until it is renewed. TO CONFIRM renewal price and grace period
  • Refunds are covered by our Refund Policy.

4. Venues

  • You must have the venue owner's permission before installing a screen or player, and you are responsible for that arrangement (placement, power, internet, any payment or perks you offer the venue).
  • You are responsible for installing equipment safely and following any building, electrical or landlord rules.
  • If a venue asks for an ad or a screen to be removed, you must act promptly. We may also stop playback on a screen at a venue's request.

5. Selling ads

  • You set the daily price and any discount on each quote. CombCast may show a suggested price; it is not binding.
  • Be honest with advertisers. Do not promise a specific audience size, number of views, sales results, or placements you cannot deliver.
  • Make sure every ad follows the Advertiser Terms and the law. We may refuse, pause or remove any ad.
  • Advertisers pay through CombCast payment links only. Do not collect payment for CombCast ad spots outside the Service.

6. Earnings

  • Ad sales: when an advertiser pays for an ad you sold, you earn a share of the ad fee (before tax).
  • Team revenue share: if people you invited (and people they invited, up to a limited number of levels) sell ads, you may earn a smaller share of those sales.
  • Referral rewards: you may earn a one-time reward when someone you invited directly buys the starter kit and their account is activated. Rewards are paid only to the direct referrer.
  • The current rates, levels and reward amounts are shown in your back office under Earnings. We may change them for future sales with at least 30 days' notice. Earnings already recorded for a paid ad do not change.
  • Earnings come from ad sales and activated referrals only. Simply recruiting people, or anyone buying a starter kit, does not by itself guarantee any income to you.
  • Your share is paid to you at the time the advertiser pays, into the payout account you set up with our payment processor. You must complete the processor's identity and banking verification to receive earnings. TO CONFIRM: what happens to earnings before verification is complete
  • If an advertiser payment is refunded or reversed (chargeback), the related earnings, including team shares, are reversed too.
  • Sales tax charged to advertisers is never part of any earnings.

7. No income guarantee

CombCast does not promise or guarantee any level of income. What you earn depends on your own effort, the venues you sign, the prices you set, how many spots you sell, local demand and other factors outside our control. Many agents may earn little or nothing, and may not recover what they spend on the starter kit, TVs and other costs. Any example or estimate (including the profit estimator in the back office) is only an illustration based on assumptions you enter — it is not a prediction.

When you talk about CombCast to others, you must not state or imply that they will earn a specific amount, and you must not exaggerate typical earnings.

8. Inviting others

  • Be truthful. Describe CombCast as a business of selling local ads, not as an investment or a way to earn from recruiting.
  • Do not pressure anyone or make income claims.
  • Send invitations only to people who have agreed to hear from you, and follow Canada's anti-spam law (CASL) — include your name and a way to opt out in any electronic message you send.
  • Referral relationships give access to earnings figures only — never to another agent's venues, advertisers or data.

9. Brand, data and conduct

  • Use the CombCast name and logo only as we provide them and only to promote the Service.
  • Protect the personal information of advertisers and venues you handle. Use it only to provide CombCast services, and follow our Privacy Policy.
  • Act honestly and professionally. Do not engage in fraud, misleading conduct or anything that harms CombCast's reputation.

10. Equipment

  • Ad players you buy are yours. CombCast software on them is licensed, not sold; do not modify or misuse it.
  • Hardware warranty: TO CONFIRM — manufacturer warranty / CombCast replacement period.
  • We may remotely stop playback on a player that breaks these terms or the law.

11. Ending the Agreement

  • You may end this Agreement at any time by contacting us at CONTACT EMAIL. Your account will be closed and ads on your screens will stop at the end of any already-paid run.
  • We may end or suspend it if you break this Agreement, the Terms or the law, or with 30 days' notice for any other reason.
  • On ending, earnings already recorded remain yours (unless reversed under section 6). Unpaid quotes are cancelled. Referral relationships end.

12. Liability

The liability limits in the Terms of Service apply. You agree to cover our reasonable losses from claims caused by your breach of this Agreement, your dealings with venues or advertisers, or your installations.

13. General

Governed by the laws of PROVINCE: Ontario — TO CONFIRM and applicable federal laws of Canada. We may update this Agreement with at least 30 days' notice; continuing as an agent after that means you accept the changes. If you do not accept, you may end the Agreement.
